Terms of Service

1. Using Vera

By accessing or using the service, you agree to these terms. If you do not agree, do not use the service. You must be legally able to enter this agreement. If you act for an organisation, you confirm you have authority to bind it, and “you” includes that organisation.

A separate agreement signed with Vera takes priority where it conflicts with these terms. Specific plan or checkout terms disclosed and accepted when you subscribe also apply to that subscription.

2. The service and open beta

Vera helps organisations track devices, software, licences, team access, domains, tasks, and known breach exposure. Features depend on the plan, availability, information supplied, and integrations you authorise.

Vera is in open beta with self-serve signup. The service is free while the beta runs, with no card required. Beta features may be incomplete or change as we develop the service. Keep copies of information you need for business continuity.

3. Accounts and organisation responsibilities

Provide accurate account information, protect your sign-in credentials, and promptly tell us about suspected unauthorised access. Your organisation is responsible for managing its authorised users, roles, connected services, and records, including removing access when a person leaves.

Only upload, import, or request checks on information you have the right to use. You are responsible for providing required notices and obtaining any necessary permissions for employee information, directory imports, breach checks, and disclosures to connected services or AI assistants.

4. Acceptable use

You must not use Vera to:

• Break the law, infringe another person's rights, or collect information about people or organisations without authority.
• Attempt unauthorised access, bypass access controls or usage limits, disrupt the service, or upload malicious code.
• Send spam, impersonate others, or use the service to harass, defraud, or harm anyone.
• Resell access or copy and distribute the service without permission, except where applicable law permits it.

If you discover a security issue, report it to hello@verait.io and avoid accessing or altering anyone else's data.

5. Your data and Vera's intellectual property

You retain your rights in information and content you provide. You grant Vera permission to host, copy, process, and transmit that content only as needed to deliver, maintain, secure, and support the service, follow your instructions, and comply with law. This includes processing through providers described in our Privacy Policy.

Vera and its licensors retain their rights in the service, software, branding, and website content. While you comply with these terms, you may use the service for its intended purposes and your organisation's internal business needs.

We may use suggestions you voluntarily give us to improve Vera without owing compensation. This does not transfer ownership of your workspace records or permit their public disclosure.

6. Third-party services and AI

You decide which supported services to connect and which permissions to grant. Microsoft, Google, payment services, and other providers have their own terms and privacy policies. Their availability, permissions, pricing, and data can change independently of Vera.

You are responsible for reviewing data before sending it to a connected service or authorising an external assistant. Disconnecting a provider does not necessarily delete imported records or copies already received by that provider.

AI-generated answers may be incomplete or incorrect. Check important outputs against source records before acting, especially when making decisions affecting people, security, spending, or legal obligations.

7. Reports and security information

IT Checkup results, articles, alerts, and recommendations provide general information. A checkup reflects the answers supplied; it is not a security audit, certification, legal opinion, or guarantee that your systems are safe or compliant.

Breach monitoring depends on available third-party records. An absence of reported breaches does not establish that an account is secure. You remain responsible for verifying records, investigating alerts, applying appropriate security controls, and obtaining professional advice where needed.

8. Paid plans, renewal, and cancellation

If you subscribe to a paid plan, the price, currency, billing interval, applicable taxes, and any trial or renewal conditions will be shown before purchase. You authorise the agreed charges through the payment provider. An automatically renewing subscription continues for the disclosed billing interval until cancelled.

You can manage or cancel a subscription through the available billing controls, or contact hello@verait.io for assistance. Unless the purchase terms say otherwise, cancellation stops the next renewal and access continues until the end of the paid period. Cancelling a subscription and requesting data deletion are separate actions.

Refunds are subject to the terms disclosed at purchase and applicable law. Nothing here removes a right to a refund or another remedy under consumer law. Any price change will be communicated before it applies, with an opportunity to cancel before the new charge; it will not change a period already paid for.

9. Availability, suspension, and ending use

We work to keep Vera available, but maintenance, outages, and third-party failures can interrupt the service. We may make reasonable changes to improve or secure it. Where a change materially reduces a paid service, we will provide notice and any remedy required by applicable law or your agreement.

We may restrict or suspend access when reasonably necessary to address a security risk, unlawful use, a material breach of these terms, or overdue payment. Where practical, we will explain the reason and give you an opportunity to resolve the issue. Immediate action may be necessary to protect users or comply with law.

You may stop using Vera at any time. For account closure or data requests, use the available settings or contact us. Before closing an account, save any records you need. We handle remaining information as described in the Privacy Policy, including any required retention. If we discontinue a paid service, we will give reasonable notice where possible and address unused prepaid service in accordance with your legal rights.

10. Warranties and responsibility

To the extent permitted by law, we do not promise that the service will be uninterrupted, error-free, or suitable for every business purpose, or that third-party data and AI outputs will always be accurate.

Nothing in these terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded, including applicable guarantees under the Australian Consumer Law. Our responsibility for loss or damage remains subject to applicable law. These terms do not exclude liability for fraud, wilful misconduct, or any other liability that cannot legally be excluded.

11. Questions, disputes, and changes

Please contact hello@verait.io with service concerns or disputes so we can try to resolve them. This does not prevent either party from seeking urgent relief or exercising rights available under applicable law, including contacting a regulator or bringing a claim in a competent court.

We may update these terms to reflect changes in Vera or legal requirements. We will publish the revised terms and date here and give reasonable advance notice of material changes to active customers where practical. Changes will not apply retrospectively. If you do not accept a material change, you can stop using the service and cancel before it takes effect, subject to your existing payment obligations and legal rights.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
